1. Agreeing to these terms
These Terms are an agreement between you and ONA AI Labs ("Ona", "we", "us"). They cover our website, the Ona apps, Ona hardware such as the Ona Band and Ona RecordPen, and our cloud services (together, the "Services"). Our Privacy Policy explains how we handle your information and is part of these Terms.
By creating an account or using the Services, you agree to these Terms. If you use Ona on behalf of an organization, you agree for that organization and confirm that you have the authority to do so.
Section 17 contains an arbitration agreement and a class action waiver. They affect how disputes are resolved. Please read them.
2. Who can use Ona
You must be at least 18 years old and able to enter a binding contract. You may not use Ona if the law prohibits you from doing so, or if we have previously banned you. If you use the Services outside the United States, you are responsible for following your local laws.
3. Your account
Keep your sign-in details secure and your account information accurate. You are responsible for everything that happens under your account. Tell us straight away if you think someone has accessed it without permission.
In a team workspace, the workspace owner and admins can manage members, billing and shared content. They can also remove your access to the workspace.
4. Recording other people
Many places require the consent of everyone in a conversation before it is recorded. Some require only one person's consent. You alone are responsible for following every recording, wiretap, privacy and data protection law that applies to you. This includes getting any consent that is needed and telling people when Ona is recording.
Ona shows a recording indicator to help, but it does not replace consent. Do not use Ona to record anyone secretly, or where a recording is not allowed. We may suspend accounts used for unlawful recording.
5. Your content
Your content includes the audio you record, and the transcripts, summaries, notes, questions and other material you create or upload. You keep all your rights in it.
You give us a limited license to host, copy, process, transmit and display your content, only to provide, secure and support the Services for you and the people you share with. This license ends when you delete the content, except for copies in backups, which are overwritten on a fixed schedule. We do not use your content to train AI models.
You confirm that you have the rights and consents your content needs, and that it does not break the law or anyone else's rights.
6. AI features and output
Ona uses AI to make transcripts, summaries, answers, drafts and actions. AI output may be inaccurate, incomplete or out of date, and it may mishear or misattribute what was said. Check anything important before you rely on it. This matters most for medical, legal, financial or safety decisions. Ona's output is not professional advice.
If you let Ona take actions in connected tools, such as sending a message or creating a task, you are responsible for reviewing what it does on your behalf.
7. Acceptable use
You agree not to:
- Record, monitor or track people without the consent the law requires, or break any law.
- Harass, threaten, defame or impersonate anyone, or exploit or harm minors.
- Upload malware, or interfere with or overload the Services.
- Get around our security, usage limits or access controls, or access another user's account or data.
- Reverse engineer the apps, hardware or firmware, except where the law expressly allows it.
- Scrape the Services, or use them or their output to build a competing product.
- Resell or sublicense the Services unless we have agreed to it in writing.
8. Connected services
You can connect Ona to third-party services such as Google Calendar, Outlook, Notion and Slack. Your use of those services is governed by their own terms. We are not responsible for them, and they may change or become unavailable at any time. Connecting a service authorizes Ona to access it as your integration settings describe.
9. Plans, subscriptions and payment
Ona offers a free plan and paid plans. Prices and what each plan includes are shown on our Pricing page and at checkout.
- Automatic renewal. Paid plans renew automatically at the end of each billing period until you cancel. You can cancel at any time, and your plan stays active until the end of the period you have paid for.
- App store purchases. If you subscribe through the Apple App Store or Google Play, that store bills you, and its rules apply to cancellations and refunds. Manage the subscription in your store account.
- Web purchases. If you subscribe on our website, you can cancel from your account settings.
- Price changes. We will tell you before a price change applies to your plan, so you can cancel before it takes effect.
- Refunds. Payments are non-refundable except where the law requires otherwise, or where we say so in writing.
- Taxes. Prices do not include taxes unless stated. You are responsible for any taxes that apply.
- Free months and referrals. Promotional credits, including referral rewards, have no cash value and may carry their own conditions.
10. Ona hardware
Orders for Ona hardware, including pre-orders of the Ona Band, are processed through our online store. Pre-order ship dates are estimates. You can cancel a pre-order for a full refund at any time before it ships.
Hardware comes with a limited warranty against defects in materials and workmanship for one year from delivery. You may return an unused device within 30 days of delivery for a refund. Nothing in these Terms limits the consumer rights you have under the law.
Firmware updates may install automatically so that your device keeps working with the Services.
11. Our intellectual property
The Services, including the software, firmware, design and the Ona name and logo, belong to us and our licensors. We give you a personal, non-exclusive, non-transferable license to use the Services under these Terms. You need our written permission to use our trademarks.
If you send us feedback, we may use it without any obligation to you.
12. Changes to the Services
We improve Ona all the time, so features may change, be added or be removed. If we remove something material from a paid plan while you are subscribed, we will tell you in advance. Keep your own copies of anything important. You can export your content at any time.
13. Suspension and termination
You can stop using Ona and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if the law requires it, or to protect other users or the Services. Where it is reasonable, we will warn you first and give you a chance to export your content.
Sections that by their nature should survive termination will continue to apply. These include your content license ending, disclaimers, limits on liability, indemnity and dispute resolution.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT TRANSCRIPTS OR AI OUTPUT WILL BE ACCURATE. THE LIMITED HARDWARE WARRANTY IN SECTION 10 IS NOT AFFECTED.
15. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICES IS LIMITED TO THE GREATER OF US$100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some places do not allow these limits, so they may not all apply to you.
16. Indemnity
You agree to defend and indemnify us against third-party claims that arise from your content, your breach of these Terms, or your recording of anyone without the consent the law requires.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Before you file a claim, email info@onavoice.ai and give us 60 days to try to resolve it informally.
Arbitration. If we cannot resolve it, you and Ona agree that any dispute will be settled by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules. Either party can instead bring a claim in small claims court, or seek an injunction in court to protect intellectual property.
Class action waiver. You and Ona each bring claims only individually, never as a plaintiff or class member in a class or representative action. You and Ona both waive the right to a jury trial.
Opt-out. You can opt out of this arbitration agreement by emailing info@onavoice.ai within 30 days of first accepting these Terms. Include your name and your account email.
Any claim not subject to arbitration must be brought in the state or federal courts in Delaware. Claims must be filed within one year of arising, where the law allows this limit.
18. General terms
We may update these Terms. If a change is material, we will tell you at least 14 days before it takes effect, by email or in the app. If you keep using the Services after it takes effect, you accept the updated Terms.
If any part of these Terms is found unenforceable, the rest still applies. If we do not enforce a provision, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and us about the Services.
